Terms of Service

Agreement

These Terms of Service ("Terms") govern access to and use of the LiquidJira platform offered under the Liquid Solutions brand by OHTIC SOLUTIONS SL ("OHTIC", "we", "us").

By creating an account, accepting these Terms during signup, or using the service, you agree on behalf of yourself and the organisation you represent ("Customer", "you").

The service

LiquidJira provides cloud software to connect to Jira Cloud, synchronise Jira data, and present metrics and dashboards. Features and limits may depend on your subscription plan.

We may update features, interfaces, or underlying infrastructure; we will use reasonable efforts to avoid material degradation of core functionality for paying customers.

Registration and accounts

You must provide accurate registration information and keep credentials confidential. You are responsible for activity under your account and for ensuring that only authorised users access your tenant and instances.

The service is intended for business use. You represent that you have authority to bind your organisation and that users are at least 16 years old.

Acceptable use

You will not misuse the service, attempt unauthorised access, interfere with other customers, reverse engineer the platform except as permitted by law, or use the service in violation of applicable law or Atlassian's terms applicable to your Jira site.

You are responsible for the lawfulness of data you instruct us to process from Jira and for obtaining any necessary notices or consents from your users and employees.

Customer data

You retain ownership of data originating from your Jira and your organisation. You grant us a limited licence to host, process, and display that data solely to provide the service.

For personal data, you are typically the controller and OHTIC acts as processor where we process such data on your instructions; see our Privacy Policy for details.

Intellectual property

OHTIC and its licensors own the platform, software, documentation, and branding. No rights are granted except as expressly stated in these Terms.

Feedback you provide may be used to improve the service without obligation to you.

Availability and support

We provide the service on a commercially reasonable efforts basis. Scheduled maintenance may occur; we aim to minimise disruption.

Unless a separate written agreement specifies service levels, no particular uptime percentage is guaranteed.

Subscriptions and billing

Fees, billing cycles, and cancellation terms are as presented in the product or order form for your plan.

Limitation of liability

To the maximum extent permitted by law, OHTIC is not liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, data, or goodwill.

Our aggregate liability arising out of or related to these Terms or the service is limited to the fees paid by you to OHTIC for the service in the twelve (12) months before the event giving rise to the claim, or one hundred euros (€100) if no fees were paid, whichever is greater.

Nothing in these Terms excludes liability that cannot be excluded under applicable law.

Suspension and termination

We may suspend or terminate access for material breach, non-payment, legal requirement, or risk to the platform or other customers. You may stop using the service at any time.

Upon termination, your right to access the service ends. Export or retrieval of data, where available in the product, should be requested before closure; we may delete data after a reasonable retention period.

Governing law

These Terms are governed by the laws of Spain. Courts in Barcelona, Spain shall have exclusive jurisdiction, without prejudice to mandatory consumer protections where applicable.

Changes to these Terms

We may modify these Terms by posting an updated version on this page. Continued use after the effective date constitutes acceptance where permitted by law.
